1. Agreement
By creating an account, accessing, or using Lead Pattern or related services (the “Service”), you agree to these Terms of Service (“Terms”) with CUBOT INFOTECH LLP (“Cubot Infotech”, “we”, “us”). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. Eligibility and account registration
You must be able to form a binding contract and provide accurate registration information. You are responsible for safeguarding credentials and for activity under your account. Notify us promptly of unauthorized use at founders@leadpattern.com.
3. The Service
Lead Pattern is a business software platform that helps organizations communicate via WhatsApp Business API and related features. Features may vary by plan. Product marketing details are published on https://leadpattern.com. We may modify features with reasonable notice where material.
4. Customer responsibilities
- Use the Service only for lawful business purposes
- Comply with Meta/WhatsApp policies, template rules, and consent requirements
- Obtain all required consents from message recipients before messaging
- Maintain accurate business profile and billing information
- Not upload unlawful, infringing, or harmful content; see our Acceptable Use Policy
5. WhatsApp / Meta policy compliance
Messaging on WhatsApp is subject to Meta’s terms and policies. We do not control WhatsApp network availability, verification decisions, or Meta fees. You remain responsible for message content and recipient consent. See our Messaging Guidelines.
6. Prohibited content and conduct
You may not use the Service for spam, harassment, fraud, malware, unauthorized access, scraping that violates law or contracts, or any activity that harms Cubot Infotech, Meta, recipients, or third parties.
7. Intellectual property
We and our licensors own the Service, branding, and software. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of Customer Content you submit; you grant us a license to host and process it solely to provide the Service.
8. Subscriptions, billing, and taxes
Fees for software plans are described on the product pricing pages or order forms. Unless stated otherwise, fees exclude Meta/WhatsApp conversation charges and applicable taxes. You authorize us and our payment processors to charge your selected payment method. Taxes are your responsibility unless we are legally required to collect them.
9. Refunds
Refund and cancellation terms are set out in our Refund & Cancellation Policy.
10. Third-party services
The Service may interoperate with WhatsApp/Meta, payment gateways, and other integrations. Third-party terms apply to those services. We are not responsible for third-party outages or policy changes.
11. API usage
If you use our API or webhooks, you must respect documented rate limits, authentication requirements, and security practices. We may suspend API access that threatens Service stability or security.
12. Availability and maintenance
We aim for reliable availability but do not warrant uninterrupted or error-free operation. Planned maintenance may occur with notice when practical.
13. Suspension and termination
We may suspend or terminate access for non-payment, policy violations, legal risk, or security concerns. You may stop using the Service and request account deletion via /delete-account. Provisions that by nature should survive (IP, liability limits, indemnity) will survive termination.
14. Data ownership and privacy
Customer Content remains yours. Our processing of personal data is described in the Privacy Policy and Data Protection page.
15. Security
See our Security page for practices. You are responsible for configuring access controls within your workspace appropriately.
16. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE WHATSAPP VERIFICATION, MESSAGE DELIVERY, LEAD VOLUME, OR SALES OUTCOMES.
17. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUBOT INFOTECH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE/DATA. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR [AMOUNT] IF GREATER CAP IS REQUIRED BY LAW).
18. Indemnification
You will defend and indemnify Cubot Infotech against claims arising from your Customer Content, messaging practices, failure to obtain consent, or violation of these Terms or applicable law, except to the extent caused by our willful misconduct.
19. Dispute resolution and governing law
These Terms are governed by the laws of [GOVERNING LAW — confirm with legal counsel], without regard to conflict-of-law principles. Courts of [JURISDICTION — e.g. India / Gujarat] shall have exclusive jurisdiction, unless mandatory consumer laws provide otherwise. Confirm with legal counsel before relying on this clause.
20. Changes
We may update these Terms. Continued use after the effective date constitutes acceptance of updated Terms, except where additional consent is required by law.
